Welcome to KeplerAgents. These Terms of Service ("Terms") govern your use of our automated customer support service. By creating an account or using our service, you agree to these Terms.
1. Service Description
KeplerAgents provides an AI-powered customer support automation platform that:
- Connects to your business Instagram, WhatsApp, and/or Telegram accounts
- Automatically responds to customer messages based on your configured knowledge base
- Processes and routes conversations according to your settings
- Provides analytics and conversation history through a web dashboard
The service is provided on a subscription basis with various plan tiers.
2. Eligibility
To use KeplerAgents, you must:
- Be at least 18 years old
- Have the legal authority to enter into this agreement
- Operate a legitimate business or organization
- Comply with all applicable laws and regulations
- Have a valid Instagram Business Account, WhatsApp Business number, or Telegram bot (depending on which channels you connect)
3. Account Registration
When creating an account:
- You must provide accurate and complete information
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorized access
- One account per business entity (no sharing accounts across multiple businesses)
4. Channel Connections
Instagram
- You must have an Instagram Business Account to connect Instagram
- Your Instagram account must be linked to a Facebook Page
- You authorize KeplerAgents to access your Instagram Direct Messages and basic profile information
- You can revoke access through your Facebook Business settings at any time
- You remain solely responsible for the content of automated responses sent from your account
WhatsApp
- You must have a WhatsApp Business Account to connect WhatsApp
- You authorize KeplerAgents to send and receive messages on your behalf
- You must comply with WhatsApp's Terms of Service and Business Policy
- You are responsible for any fees charged by WhatsApp for message volume
Telegram
- You must create a Telegram Bot through BotFather
- You provide the bot token to KeplerAgents to enable integration
- You must comply with Telegram's Terms of Service and Bot API guidelines
5. Your Responsibilities
Content and Responses
You are solely responsible for:
- The accuracy of information in your knowledge base (FAQs, business info)
- Automated responses generated by your AI agent
- Compliance with advertising and consumer protection laws
- Ensuring responses do not violate platform policies (Instagram, WhatsApp, Telegram)
- Monitoring conversations and intervening when necessary
Prohibited Uses
You may NOT use KeplerAgents to:
- Send spam, unsolicited messages, or bulk marketing (this violates platform policies)
- Distribute malware, phishing attempts, or fraudulent content
- Impersonate another person or entity
- Collect user data without consent
- Violate any applicable laws or regulations
- Harass, abuse, or harm individuals
- Engage in illegal activities or promote illegal products/services
- Bypass or circumvent platform rate limits or restrictions
6. Pricing and Payment
Subscription Plans
- Plans are billed monthly in advance
- Pricing is displayed at kepleragents.com and may vary by plan tier
- Setup fees (if applicable) are one-time charges billed separately
- We reserve the right to change pricing with 30 days' notice
Free Trial
- 7-day free trial available for new customers
- No credit card required during trial
- Trial automatically expires unless you subscribe
- Limited to one trial per business
Payment
- Payments processed securely through Stripe
- You authorize us to charge your payment method on file
- Failed payments may result in service suspension
- You are responsible for all taxes and fees
Refunds
- Setup fees are non-refundable
- Monthly subscriptions: pro-rated refund if canceled within first 7 days of a new billing cycle
- No refunds for partial month usage
- Refunds processed within 10 business days
7. Service Availability and Support
Uptime
We strive for 99.5% uptime but do not guarantee uninterrupted service. We are not liable for:
- Scheduled maintenance (announced in advance when possible)
- Third-party service outages (Instagram API, WhatsApp API, Telegram API, OpenAI, etc.)
- Force majeure events beyond our reasonable control
Support
Support response times vary by plan:
- Starter: 24-48 hours (standard support)
- Growth: 12-24 hours (priority support)
- Scale: 4-12 hours (premium support)

8. Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any feature or the service entirely with reasonable notice
- Update our AI models, infrastructure, or technology stack
- Change conversation limits, features, or pricing with 30 days' notice
- Perform maintenance that may temporarily affect service availability
We will notify you of material changes via email or dashboard notification.
9. Intellectual Property
Our IP
KeplerAgents retains all rights to:
- The KeplerAgents platform, software, and technology
- Our trademarks, logos, and branding
- Platform improvements and AI model optimizations (aggregate, anonymized learnings)
Your IP
You retain all rights to:
- Your business name, branding, and trademarks
- Your knowledge base content (FAQs, business information)
- Your customer data and conversation history
You grant us a limited license to use your content solely to provide the service.
10. Data and Privacy
Our collection and use of your data is governed by our Privacy Policy. Key points:
- We store conversation history to provide the service
- We use AI providers (OpenAI/Anthropic) to generate responses
- We encrypt sensitive data (OAuth tokens) at rest
- We do not sell your data to third parties
- You can export or delete your data at any time
11. Limitation of Liability
IMPORTANT: To the maximum extent permitted by law:
- KeplerAgents is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, consequential, or punitive damages
- Our total liability is limited to the amount you paid in the 12 months preceding the claim
- We are not responsible for losses caused by:
- Third-party service outages (Meta/Instagram, WhatsApp, Telegram, AI providers)
- Inaccurate automated responses based on your knowledge base
- Actions taken by your AI agent that violate platform policies
- Data breaches caused by your account credentials being compromised
- Lost business, revenue, or customers due to service issues
12. Indemnification
You agree to indemnify and hold harmless KeplerAgents from claims arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of third-party rights (platform policies, intellectual property, privacy)
- Content you provide (knowledge base, automated responses)
- Your violation of applicable laws
13. Termination
By You
You may cancel your subscription at any time:
- Cancellation takes effect at the end of your current billing period
- No refund for unused portion of the month (except as noted in Refund policy)
- You can export your data before termination
- Data is retained for 30 days after cancellation, then permanently deleted
By Us
We may suspend or terminate your account if:
- You violate these Terms
- Payment fails and you don't update your payment method within 7 days
- You use the service for prohibited purposes (spam, illegal activity, etc.)
- You engage in abusive behavior toward our support team
- Your account poses a security risk
We will provide notice when feasible, but reserve the right to terminate immediately for serious violations.
14. Third-Party Services
KeplerAgents integrates with third-party services:
- Meta/Facebook/Instagram: Your use of Instagram features is subject to Meta's Terms of Service and Platform Policy
- WhatsApp: Subject to WhatsApp Terms of Service and Business Policy
- Telegram: Subject to Telegram Terms of Service and Bot API guidelines
- OpenAI/Anthropic: AI responses are generated using third-party AI models
- Stripe: Payment processing subject to Stripe's Terms of Service
We are not responsible for changes to, or discontinuation of, these third-party services.
15. Compliance with Platform Policies
You acknowledge and agree that:
- You must comply with Instagram, WhatsApp, and Telegram policies at all times
- Violations of platform policies may result in your account being banned by the platform
- We are not liable for platform bans or restrictions on your connected accounts
- You are responsible for staying informed about platform policy updates
- We may suspend your service if your usage violates platform policies
16. Dispute Resolution
In the event of a dispute:
- Contact us first at info@kepleragents.com to resolve informally
- If informal resolution fails, disputes will be resolved through binding arbitration
- Arbitration will be conducted under the rules of the American Arbitration Association
- You waive your right to participate in class action lawsuits
- Some jurisdictions do not allow arbitration agreements; in those cases, disputes will be resolved in courts
17. Governing Law
These Terms are governed by the laws of the jurisdiction where KeplerAgents operates, without regard to conflict of law principles.
18. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Email notification
- Dashboard notification
- Updating the "Last Updated" date at the top of this page
Continued use of the service after changes constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and KeplerAgents regarding your use of the service.
